Board of Directors Meeting
Board Members Present: Luke Lundemo, Ann Herlihy, Barbara Scobee, Karen
Parker.
Absent: John McNeal, Nicole Jenkins, Amy Breckenridge.
Also present: Steve Whitlow, Bruce Fraiser.
A quorum was present.
Minutes: September minutes were approved and seconded.
Member Input: none
Managers Report: Steve Whitlow reported. The Board agreed Member’s Day would be changed to Member’s Weekend and would be held both on Saturday and Sunday.
Financial Report: Barbara Scobee and Bruce Fraiser reported. Bruce presented Simplified Employment Pension (SEP) plan to Board for approval. A motion for approval of SEP plan was made and seconded. The Board approved unanimously. Bruce will present property insurance cost comparisons at November meeting.
Committee Reports:
Staff Grievance Form: Staff Grievance Procedure form to be tabled until Amy’s return.
Old Business:
Disaster planning/Flooding issue: Luke awaiting quotes for generator.
General Manager Evaluation Procedure: Steve submitted his SWOT analysis and Management Self-Evaluation to Luke. Management evaluation is scheduled for April. Luke and Steve to determine GM evaluation components and develop a timetable for evaluation, to be presented in November.
New Business:
A motion was presented, seconded and approved to allow commercial accounts to
receive 20% discount (formerly 10%) on raw goods.
Plans were discussed for a staff appreciation event.
Discussion was made to examine the acquisition of an assistant for Board President and to examine possibility of salary for President. Motion was tabled until November as there was no quorum present with the exclusion of Luke’s vote.
A motion was made to adjourn. This motion was seconded
and passed.
